Verkoop Tata Steel UK

Achter de schermen wordt er druk onderhandeld en worden diverse opties bekeken. Er hebben zich verschillende gegadigden gemeld in Mumbai bij het hoofdkantoor van Tata Steel. In al deze gevallen is een eis dat de Engelse regering financieel mee doet gezien het grote belang voor de werkgelegenheid in Wales. De regering zou hiertoe genegen zijn en verschillende varianten worden uitgewerkt. Naast de werkgelegenheid ligt er nog een groot probleem en dat is het staalpensioenfonds. Dit fonds, met een omvang van ca. 15 miljard pond, staat fors ‘onder water’ en het zou om heel veel geld gaan. Geen van de gegadigden heeft trek om dit probleem over te nemen. De Engelse regering onderzoekt mogelijkheden om de pensioenregels aan te passen of om de pensioenverplichtingen over te nemen. In alle varianten wordt verwacht dat dit zal leiden tot lagere pensioenen. In financiële kringen sluit men niet uit dat Tata Steel voorlopig in de UK zal blijven en mogelijk nog enkele onderdelen zal verkopen.De onverwachte keuze voor een Brexit zal het onderhandelingsproces verder vertragen omdat er eerst een nieuwe minister- president moet komen en er een nieuwe regering moet worden samengesteld. Het probleem in de staalindustrie is misschien niet de eerste prioriteit van de nieuwe regering maar teveel uitstel lijkt ook niet wenselijk. De export is op korte termijn gediend met de terugval van het pond, importeren van Chinees staal wordt hierdoor duurder en exporteren van auto’s goedkoper. Jaguar Land Rover kwam met positieve berichten over de toename van de verkoop.

Staalfusie in China

Europa zet met andere bondgenoten druk op China om de staalproductie in China te reorganiseren en het dumpen van de Chinese overproductie van staal tegen afbraakprijzen op de Europese markt te stoppen.

Recent werd aangekondigd dat twee grote staalbedrijven in China gaan ‘fuseren’. Hierdoor ontstaat het grootste staalbedrijf ter wereld. Maar wat ‘fuseren’ in China concreet betekent is afwachten.

Tata Steel IJmuiden

Het Financieel Dagblad meldde recent o.m. het volgende:

‘’Tata Steel IJmuiden heeft in het boekjaar 2015/2016 de winst met meer dan de helft zien afnemen. Dat blijkt uit een recente interne mededeling van de directie aan het personeel van de Noord-Hollandse staalfabriek. Het dalende winstniveau heeft ook tot gevolg dat de tussen de 8.000 en 9.000 werknemers een lagere winstuitkering krijgen.’’

‘’Tata Steel IJmuiden onderzoekt momenteel hoe de winst het best opgevoerd kan worden. Organisatieadviseurs van McKinsey zijn al sinds maart aan het onderzoeken of in IJmuiden verdere ‘efficiencymaatregelen’ kunnen worden doorgevoerd.’’

‘’De staalfabriek in IJmuiden is een van de grootste werkgevers van Noord-Holland. IJmuiden kijkt met grote interesse en spanning naar de ontwikkelingen in het Verenigd Koninkrijk, waar de meeste staalfabrieken van Tata in de etalage staan.’’

NRC meldde recent o.m. het volgende:

Het Indiase staalconcern Tata Steel gaat de komende jaren honderden miljoenen euro’s investeren in de hoogovens bij IJmuiden. Dat bevestigt een woordvoerder van het bedrijf.

Er komt onder meer een nieuwe continugietmachine bij, waarmee hoogwaardig staal wordt gemaakt voor bijvoorbeeld de auto-industrie. Daarvan staan er nu al twee in IJmuiden. De bouw van de machine start binnenkort en deze moet in 2019 in bedrijf zijn. “Met dunner staal van hoge kwaliteit kunnen steeds lichtere auto’s worden gemaakt”, zegt de voorlichter. “Hoe minder je nodig hebt om de gewenste sterkte te bereiken hoe goedkoper dat is voor de fabrikant. Daarnaast verbruiken lichtere wagens minder benzine.”

Toch maar geen fusie met Tata Steel

‘De Duitse staalproducent ThyssenKrupp verloor ruim 5 procent na het (onbevestigde) gerucht dat de beoogde fusie van de staaldivisie met de Europese tak van Tata Steel waarschijnlijk van de baan is. Tata Steel Europe (voorheen Corus) was van plan de Britse tak af te stoten en zou dan alleen nog bestaan uit de staalfabriek in IJmuiden, het vroegere Hoogovens. Die zou vervolgens worden samengevoegd met de staaltak van ThyssenKrupp. De verkoop van de Britse divisie is door de uitkomst van het Brexit-referendum onzeker geworden.’

Na diverse van dit soort onbevestigde berichten en speculaties in de pers verscheen er gisteren nabeurs een officieel persbericht. Het Financieel Dagblad kopte vandaag op haar website:

Tata Steel praat met ThyssenKrupp over samenwerking in Europa

‘Het Indiase concern Tata Steel praat met ‘strategische spelers’ in de Europese staalindustrie over verregaande samenwerking in de vorm van een joint venture. Dat heeft Tata Steel vrijdag nabeurs bekendgemaakt. Het concern praat ook met het Duitse ThyssenKrupp. De Britse activiteiten van Tata Steel worden bij de besprekingen betrokken.

De centrale ondernemingsraad (Cor) van Tata Steel Nederland (TSN) stelt in een reactie dat mogelijke samenwerking van Tata Steel met Europese partners ‘opnieuw zal leiden tot veel onzekerheid’. De raad zal ‘harde garanties’ eisen, waarbij een van de uitgangspunten zal zijn dat TSN ‘moet blijven opereren zoals nu binnen Tata Steel, met een eigen directie en een eigen raad van commissarissen’. ‘

Tata Steel announces developments regarding the strategy for its European businesses

The Board of Tata Steel Ltd today announced developments to further progress the strategy of its European businesses.

On 29 March 2016 Tata Steel announced it would explore strategic alternatives for its UK business, including the potential sale of the business as a whole or in parts. The company and its advisers then contacted around 200 potential financial and industrial investors around the world to explore their interest in the business. The company has also deeply engaged with the Governments of the UK and Wales at every stage of the process. On 9 May, seven expressions of interest were taken forward to the next stage of a possible sale process. The seven companies were given access to extensive business information and management team presentations in order for them to progress their interest and submit refined bids. Bidders were engaged in detailed discussions with the Tata Steel Europe management. The bids received have been carefully considered in detail on the basis of their commercial value and prospects for the future sustainability of the UK business for a range of stakeholders. The bids have also been reviewed in the light of the uncertainties caused by the UK referendum and the outcome of the UK Government’s consultation on the British Steel Pension Scheme. Taking the above issues into account, the Board of Tata Steel has decided to also look at alternative and more sustainable portfolio solutions for the European business. Consequently, Tata Steel has now entered into discussions with strategic players in the steel industry, including thyssenkrupp AG. Discussions have been initiated to explore the feasibility of strategic collaborations through a potential joint venture. However, the talks are currently at a preliminary stage and there can be no certainty of a transaction as the outcome depends on consultation and negotiations with various stakeholders. Koushik Chatterjee, Group Executive Director and Tata Steel’s Executive Director for Europe, said: “We have initiated conversations for a strategic collaboration for our European business. A potential strategic combination of strip products businesses offers the best prospects to create a premium, world-class strip steel business with the scale and scope of capabilities to compete successfully on the global stage.” Mr Chatterjee continued: “It is too early to give any assurances about the success of these talks. Such success, especially the inclusion of the UK business in the potential joint venture, would depend on several issues including finding a suitable outcome for the British Steel Pension Scheme, successful discussions with the UK trade unions and the delivery of policy initiatives and other support from the Governments of the UK and Wales. These are necessary for realising a sustainable business in the UK. The management team and the employees of the company are also continuing to improve the underlying performance of our European business which is very encouraging. We continue to be actively engaged with both the UK and the Welsh Governments, the trade unions and the Pension Trustees.” Mr Chatterjee further commented: “As part of this development in our European strategy, we will now also begin separate processes for the potential sale of the South Yorkshire-based Speciality Steels business and the Hartlepool pipe mills (other than the 20-inch Tube Mill) in the UK. Both of these operations are largely independent of the strip products supply chain with their own specific characteristics. Tata Steel UK has already received interest from several bidders for Speciality Steels and the pipe mills in each case and a formal process will be commencing shortly.” Hans Fischer, Chief Executive Officer of Tata Steel Europe, commented: “This is a welcome development, not just for Tata Steel but also for the European steel sector more broadly. Although there’s much work still to be done on any strategic collaboration I’m confident that the direction is the right one – towards higher performance and capability to serve customers. We will continue to communicate with our employees and inform and consult both works councils and trade unions as these discussions develop.” The Tata Steel Ltd Board today also reviewed the performance of the European business. The Board continues to support the business so that Tata Steel Europe can secure the supply chain to customers of the premium steel products they demand and maintain strong relationships with other stakeholders. Any further announcement on the matter will be made at an appropriate time in the future.
